AutoWritten is a product of Spare Matter Corp, a corporation registered in the United States ("Company," "we," "us," or "our").

1. Acceptance of Terms

By accessing or using the AutoWritten platform at autowritten.com (the "Service"), you agree to be legally bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree to these Terms, you must immediately stop using the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Spare Matter Corp. Your continued use of the Service following any posted changes constitutes your acceptance of those changes.

2. Description of Service

AutoWritten is an AI-powered content management and publishing platform that enables users to create, manage, and deploy articles and websites across custom domains. Core features include:

  • AI-generated article and content creation using large language models
  • AI-generated image creation and enhancement
  • Multi-domain website management and hosting
  • Content scheduling, categorization, and SEO optimization
  • A range of customizable website themes
  • Analytics and performance reporting

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where practicable.

3. Eligibility

You must be at least 18 years of age to use the Service. By using AutoWritten, you represent and warrant that you are 18 or older, have the legal capacity to enter into binding contracts, and are not barred from receiving services under applicable law. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

4. Account Registration and Security

To access most features, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your password and restrict access to your account
  • Immediately notify us of any unauthorized use of your account at legal@autowritten.com
  • Accept full responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false information, are used in violation of these Terms, or have been inactive for an extended period.

5. Subscription Plans and Billing

AutoWritten offers free and paid subscription tiers. By selecting a paid plan, you agree to pay all applicable fees and authorize Spare Matter Corp (or its payment processors) to charge your designated payment method on a recurring basis.

  • Billing Cycle: Subscriptions are billed monthly or annually, as selected at sign-up.
  • Automatic Renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new prices.
  • Refunds: All fees are non-refundable except as required by applicable law or at our sole discretion. Partial refunds for unused subscription periods are not provided.
  • Cancellations: You may cancel your subscription at any time. Access continues through the end of the current billing period.
  • Taxes: You are responsible for all applicable taxes, levies, or duties. Where required by law, Spare Matter Corp will add taxes to your invoice.

6. Use License and Restrictions

Subject to these Terms and payment of applicable fees, Spare Matter Corp grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal and commercial content publishing purposes.

You may not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Reproduce, modify, distribute, or create derivative works of any part of the Service without express written permission
  • Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit or make available the Service to any third party
  • Use the Service to create a competing product or service
  • Scrape, data-mine, or use automated means to access the Service without our express written consent
  • Circumvent, disable, or interfere with security-related features of the Service
  • Access the Service using any automated means except as expressly permitted by our API terms

7. User Content and Content Ownership

You retain all ownership rights to content you create, upload, or publish through AutoWritten ("User Content"). By using the Service, you grant Spare Matter Corp a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content solely as necessary to provide the Service to you.

You represent and warrant that:

  • You own or have the necessary rights to all User Content you submit
  • Your User Content does not infringe any third-party intellectual property, privacy, or other rights
  • Your User Content complies with all applicable laws and regulations
  • Your User Content does not contain viruses, malware, or other harmful code

We reserve the right (but not the obligation) to remove User Content that violates these Terms, applicable law, or our content policies.

8. AI-Generated Content

AutoWritten uses third-party AI services (including Google's Gemini models) to generate text and images. Regarding AI-generated content:

  • Accuracy: AI-generated content may be inaccurate, incomplete, or outdated. You are solely responsible for reviewing, editing, and verifying all AI-generated content before publication.
  • Ownership: To the extent permitted by law, you own AI-generated content created through your account and prompts. However, you acknowledge that similar outputs may be generated for other users.
  • Compliance: You are responsible for ensuring AI-generated content complies with applicable laws, including advertising disclosure rules (e.g., FTC guidelines) where required.
  • No Guarantees: We make no representations regarding the originality, accuracy, or fitness for purpose of AI-generated content.

9. Prohibited Uses

You agree not to use the Service to create, publish, or distribute content that:

  • Is illegal, fraudulent, defamatory, obscene, or harmful to minors
  • Infringes any third-party intellectual property rights
  • Harasses, abuses, threatens, or discriminates against any person or group
  • Contains false or misleading information presented as fact
  • Constitutes unsolicited commercial messages (spam)
  • Promotes illegal activities or violence
  • Violates any person's privacy rights or involves unauthorized collection of personal data
  • Involves phishing, malware distribution, or other cybersecurity attacks
  • Violates applicable export control laws or sanctions regulations

Violations may result in immediate account suspension or termination and may be reported to law enforcement.

10. Intellectual Property of Spare Matter Corp

The AutoWritten name, logo, platform software, design, and all related proprietary technology are the exclusive property of Spare Matter Corp and are protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms transfers any Spare Matter Corp intellectual property rights to you.

11. Third-Party Services and Integrations

The Service may integrate with or link to third-party services (e.g., Google Services, Stripe, Firebase). These third-party services are governed by their own terms and privacy policies. Spare Matter Corp is not responsible for the practices, content, or reliability of any third-party services. You use third-party integrations at your own risk.

12. Service Availability and Modifications

We strive for high availability but do not guarantee uninterrupted, error-free access to the Service. We may perform scheduled or emergency maintenance that temporarily affects availability. We will make reasonable efforts to provide advance notice of scheduled maintenance.

We reserve the right to modify, update, or discontinue any part of the Service at any time. Material changes to core functionality will be communicated to active subscribers with reasonable notice.

13. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your account. Spare Matter Corp may terminate or suspend your access immediately, without prior notice, if you breach any provision of these Terms or for any other business reason.

Upon termination: (a) your license to use the Service ceases immediately; (b) accrued fees are non-refundable; (c) we may delete your data after a reasonable retention period in accordance with our Privacy Policy; and (d) provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitations of liability) will survive.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SPARE MATTER CORP DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPARE MATTER CORP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SPARE MATTER CORP'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SPARE MATTER CORP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

16. Indemnification

You agree to indemnify, defend, and hold harmless Spare Matter Corp and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state of incorporation of Spare Matter Corp, without regard to its conflict of law provisions.

Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

18. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where practicable, notify active subscribers by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

19. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spare Matter Corp regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
  • Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. Spare Matter Corp may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Spare Matter Corp shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control.
